1. License Grant
Subject to the terms and conditions of this Agreement, Quantril ("Licensor") grants you a non-exclusive, non-transferable, revocable license to install and use the PPM Solution ("Software") on Microsoft Dynamics 365 and Power Platform environments for your internal business operations.
1.1 Permitted Use
You may:
Install the Software in your Microsoft Dataverse environment(s)
Use the Software for managing projects, portfolios, and resources within your organization
Configure and customize the Software to meet your business requirements
Create backups of configuration data for disaster recovery purposes
1.2 Restrictions
You may not:
Reverse engineer, decompile, or disassemble the Software
Distribute, sublicense, rent, lease, or transfer the Software to third parties
Remove or modify any proprietary notices or labels on the Software
Use the Software to develop competing products or services
Extract the Software solution for redistribution
2. Subscription and Licensing
The Software is licensed on a subscription basis. Your rights to use the Software are contingent upon:
Maintaining an active subscription through Microsoft AppSource or authorized reseller
Compliance with the number of licensed users specified in your subscription
Payment of all applicable fees as outlined in your subscription agreement
Maintaining valid Microsoft Dynamics 365 or Power Platform licenses
Data and Privacy
3.1 Your Data
You retain all rights, title, and interest in your data. The Software processes and stores data within your Microsoft Dataverse environment, which is governed by Microsoft's terms and privacy policies.
3.2 Data Collection
The Software may collect anonymous usage telemetry and diagnostic data to improve product quality and features. No personally identifiable customer or business data is transmitted to Licensor without your explicit consent.

4. Intellectual Property Rights
The Software, including all code, design, documentation, and intellectual property rights, remains the exclusive property of Licensor. This Agreement does not grant you any rights to trademarks, service marks, or trade names of Licensor.
5. Updates and Support
5.1 Updates
Licensor may provide updates, patches, and enhancements to the Software. You agree that updates may be automatically deployed to your environment. Major version upgrades may require additional licensing fees.
5.2 Support
Support services are provided according to your subscription level. Standard support includes email support with response times as specified in your service level agreement.
6. Warranty and Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Licensor does not warrant that the Software will be error-free, uninterrupted, or meet your specific requirements. You assume all risks associated with the use of the Software.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.
Licensor's total cumulative liability shall not exceed the amount paid by you for the Software in the twelve (12) months preceding the claim.
8. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term of this Agreement.
9. Export Compliance
You agree to comply with all applicable export and import laws and regulations. You will not export or re-export the Software to any prohibited country or entity as specified by applicable trade control laws.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of DPDP, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of Maharashtra, India
11. Entire Agreement
This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements, understandings, and communications, whether written or oral.
